PotLuck Entertainment Creator Membership Agreement
This Creator Membership Agreement is a binding contract between PotLuck Entertainment, LLC (“PotLuck”), a creative platform dedicated to supporting creators in the entertainment industry, and the individual (“Creator”) seeking membership in PotLuck Entertainment.
By entering into this Agreement, the Creator agrees to abide by the terms and conditions outlined below, which govern the membership, participation, and responsibilities within PotLuck Entertainment. The Creator acknowledges that this Agreement sets forth mutual expectations regarding membership fees, revenue sharing, intellectual property, confidentiality, and the rights and obligations of both parties.
The Creator agrees to pay a monthly membership fee, share a portion of revenue generated through opportunities facilitated by PotLuck, and comply with the minimum membership duration. In exchange, PotLuck Entertainment provides access to mentorship, resources, and networking opportunities that support the Creator’s professional growth.
The terms outlined in this Agreement aim to foster a collaborative and mutually beneficial relationship between PotLuck and the Creator, ensuring that both parties fulfill their obligations.
1. Overview
PotLuck Entertainment offers creators access to mentorship, resources, networking opportunities, and brand-building support. In exchange, the Creator agrees to a revenue-sharing model, along with a monthly subscription fee.
2. Membership Fees
The Creator agrees to pay a monthly subscription fee of $15 for access to PotLuck’s services, including mentorship, resources, and platform features.
Payment Schedule: Payments will be automatically deducted every month via the payment method provided by the Creator. The fee is non-refundable, except in cases of cancellation per Section 8.
3. Revenue Sharing
The Creator agrees that PotLuck will receive 30% of all revenue generated through opportunities facilitated by PotLuck, including but not limited to sponsorships, collaborations, paid gigs, and brand deals.
Applicable Revenue: This includes any direct earnings resulting from opportunities introduced, secured, or facilitated by PotLuck Entertainment.
Reporting: The Creator agrees to report their earnings accurately and timely. Monthly revenue reports must be submitted no later than the [10th] day of each month through the designated form on PotLuck's platform.
Payment: The Creator shall pay PotLuck 30% of revenue from PotLuck-supported opportunities within [7] business days after receiving payment from the relevant opportunity.
4. Payment Terms
Invoicing: PotLuck will issue monthly invoices for the 30% revenue share, if applicable.
Late Payments: Late payments may incur a [5%] late fee for each [30-day] period past the payment due date.
Audit Rights: PotLuck reserves the right to request proof of earnings, including contracts, invoices, or payment receipts, to verify that the reported revenue is accurate. Failure to comply with an audit request may result in termination of membership and potential legal action.
5. Contract Termination
The Creator may terminate their membership at any time by providing a [30-day] written notice. However, the Creator will remain liable for any outstanding revenue shares due to PotLuck for the duration of their membership and any ongoing projects facilitated by PotLuck.
Exit Clause: Upon termination of membership, the Creator agrees to continue paying the 30% revenue share for any projects initiated or facilitated by PotLuck for a period of [6 months] following membership termination.
Final Payment: The Creator must make any final payments owed to PotLuck no later than [30] days after their termination date.
6. Membership Duration and Commitment
To prevent misuse of PotLuck's resources, the Creator agrees to a minimum membership duration of 6 months. Should the Creator cancel their membership before this period, they will be liable for the full amount of remaining subscription fees and a one-time early exit fee of [$50] unless otherwise waived by PotLuck.
7. Intellectual Property
The Creator retains full ownership of their intellectual property, including content, logos, and branding, unless explicitly agreed upon otherwise. PotLuck will not claim ownership of any Creator’s work but reserves the right to showcase said work for promotional purposes with proper credit to the Creator.
8. Refunds and Cancellation
Refunds: The monthly membership fee is non-refundable, except in cases of proven system failure or at PotLuck’s sole discretion.
Cancellation: Either party may cancel this Agreement with written notice. PotLuck reserves the right to terminate membership for non-compliance with this Agreement.
9. Non-Disclosure and Confidentiality
Both parties agree to keep confidential any business practices, contracts, revenue reports, or private discussions that arise from this Agreement, unless otherwise required by law.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country]. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of [Your City/State
11. Dispute Resolution
Any dispute or claim arising out of or in relation to this Agreement shall be resolved through mediation. If mediation fails, the dispute shall be resolved through binding arbitration in Riverview, FL.
12. Entire Agreement
This Agreement constitutes the entire agreement between PotLuck and the Creator. No amendments or modifications to this Agreement shall be effective unless agreed upon in writing by both parties
13. Non-payment and legal action
In the event that the Creator fails to fulfill their payment obligations, including membership fees or revenue share payments as outlined in this Agreement, PotLuck reserves the right to take appropriate legal action to recover the outstanding amounts. Failure to make payments may result in immediate termination of the Creator's membership, along with any associated access to PotLuck’s resources, services, and platform features. PotLuck also reserves the right to pursue collection efforts, including but not limited to reporting delinquent accounts to credit agencies, engaging third-party collection agencies, and seeking judgment in a court of law. The Creator agrees to bear any additional costs associated with collection efforts, including legal fees and expenses, to the extent permitted by law.
